Company:             Investment Management Company, Moscow

Title:                     Lawyer

Reports to:           Head of Legal and Compliance

Position:              A position of a Russian qualified corporate lawyer within the Legal and Compliance Department of the Company

Summary:             The responsibilities include handling and addressing all Russian law issues encountered by the Company in its-day-to-day operations

Responsibilities

·        Addressing all Russian law issues arising in connection with operations of the Russian investment management companies (управляющих компаний),  in particular advise on matters related to investment, securities and capital markets law, regulation of mutual funds (ПИФ) and of non-government pension funds (НПФ), fiduciary management (доверительное управление) law and some regulatory compliance issues
·        Advising business and operations on legal requirements and permissibility of acquiring and/or distributing certain securities and/or structured products (foreign and Russian) to Russian clients
·        Drafting, reviewing and negotiating all Russian law documentation and agreements relating to day-to-day operations of the business
·        Assisting with and advise on Russian corporate law issues, on as-needed-basis, in relation to investment and divestment transactions of the funds
·        Occasional advise on Russian real estate law issues, in relation to transactions completed by the real estate funds (review of leases, utility services agreements, and other maintenance agreement)
·        Monitoring and advising to all Company personnel on all changes of Russian legislation applicable to investment management business, including legislation governing fiduciary management (доверительное управление), mutual funds (ПИФ), non-government funds (НПФ), securities market, investor relationship and other relevant laws
·        Designing and implementing continuing education sessions for business, sales and operations personnel summarizing recent updates and changes in Russian law
·        Assisting, on as-needed-basis, to the compliance officer with Russian compliance matters
·        Coordinating on-going litigation matters with an outside legal counsel
·        Providing advise and guidance to the corporate secretary on the issues of Russian law

Relevant experience / skills

·        3-5 years Russian law qualified lawyer
·        Solid knowledge of Russian law
·        Exposure and familiarity with Russian compliance issues is desirable
·        Previous experience in an investment management company (управляющей компании) or other similar financial institution or a western law firm with experience in this area of law is desirable
·        Good working English language skills
