A major Russian bank is looking for a lawyer specializing in corporate law for the Board of Directors Administration

Main Responsibilities:
[*] Managing 2 committees under the board of directors (heavy secretarial, admin - both Russian and English);
[*] Providing legal support for the members of the board of directors and the corporate secretary;
[*] Preparing drafts of replies to requests;
[*] Making contributions to preparing internal regulatory documents (corporate governance);
[*] Preparing for and holding corporate events, which include general shareholder meetings, board meetings and board committee meetings;
[*] Preparing legal statements on corporate governance issues referred to the corporate secretary and the board of directors;
[*] Working with internal regulatory documents, preparing amendments to the company charter;
[*] Preparing reports on affiliates in line with CBR requirements;
[*] Filing for disclosure of major events in line with the requirements of the Federal Financial Market Service and the CBR;
[*] Collaboration with the bank’s registrar on shareholder and register-related issues.

Requirements:

Education:
university degree in law (preferably from: Moscow State (MGU), Moscow State Institute of International Relations (MGIMO) or Moscow State Legal Academy (MGYuA)).

Work Experience:
at least 2 years in corporate law

Knowledge / Skills:
• Knowledge of corporate law (the federal law on joint-stock companies, the code of corporate conduct, best international corporate practices, issue standards, the federal law on banks and banking, the Federal Financial Market Service's regulatory documents, CBR instructions, etc);
• Ability to prepare legal statements; 

Language Skills: 
Excellent comprehension of spoken English, confident writing in English. This is important!! Candidates should be able to take notes at meetings held exclusively in English for subsequent compilation of meeting minutes (minutes can be written in Russian). Most documents are in both English and Russian, and candidates will need to be comfortable working with predominantly English paperwork and execs who do not speak or read Russian.

The ability to translate from English into Russian is also welcomed.

Computer Literacy:
Candidates must have be proficient users of MS Office and Garant

Qualities:
Responsible, a team player; ability to deal with highly sensitive information and maintain confidentiality; accuracy, attention to details; ability to respond promptly to requests; must be self-disciplined and proactive in follow-up tasks; looking for professional development opportunities
